Intended Audience & Use of Information

The information on this website is directed only at persons in the UK and does not constitute advice of any kind (including investment or tax advice). It does not amount to an offer or invitation to buy or sell an investment in any fund referred to on this website. It also does not solicit any offer or invitation from companies seeking investment capital in any jurisdiction other than the UK.

Persons resident in territories other than the UK should consult their professional advisers as to whether they require any governmental or other consent or need to observe any formalities to enable them to invest in the products described in these pages.

Types of Investments Referred to on this Website

Applications to invest in any fund referred to on this website or otherwise should only be made on the basis of the information set out in the relevant offering documentation. The investments referred to on this website are intended for experienced private investors and institutions and may not be suitable for all investors.

The various types of fund or pooled investment referred to on this website are not regulated by the Financial Conduct Authority. Many are considered to be unregulated collective investment schemes and, as such, in accordance with Section 238 of the Financial Services and Markets Act 2000 such products may not be marketed to the general public and may only be marketed to specific categories of investor set out in the Financial Services and Markets Act 2000 (Promotion of Collective Investment Schemes) (Exemptions) Order 2001 or as otherwise provided in accordance with Section 238. Enterprise Investment Schemes (EISs) are not subject to Section 238 and its restrictions and may in principle be offered to the general public; however, because of the nature of the investments undertaken by Ducalian Capital’s EIS offerings, these may not be suitable for all investors and you are recommended not to invest in any EIS without having first taken personal financial advice as to its appropriateness and suitability for you as an investment.

Past performance and forecasts are not reliable indicators of future results. The value of an investment may go down as well as up, in which case an investor may not get back the amount invested. Investments in small unquoted companies carry an above-average level of risk. These investments are highly illiquid and as such, there may not be a readily available market to sell such an investment. Where an investment is denominated in a currency other than Sterling then changes in the exchange rate between currencies may adversely affect the value of that investment. Your capital may be at risk if you invest.

Ducalian Capital Ltd does not provide specific individual advice on the suitability of investments with regard to a potential investor’s individual circumstances, risk tolerance or investment objectives and investors should seek independent financial advice if they are in any doubt whether a product is suitable for them. It is the responsibility of investors to satisfy themselves that any investments made are suitable for them and applications may be made only by using the appropriate application forms.

Tax & VAT

Tax assumptions are subject to statutory change and the value of tax reliefs will depend on your individual circumstances. The tax reliefs available to certain investors in Enterprise Investment Scheme companies are dependent on the company maintaining HM Revenue & Customs approval. If this approval is withdrawn, a company will lose its status and all tax reliefs are likely to be cancelled. UK based investors must retain their shares for three years to retain the up-front income tax relief. Prospective investors in Enterprise Investment Scheme companies managed by Ducalian Capital should ensure that they read the risk warnings set out in the relevant offering document.

Ducalian Capital is registered for VAT number 129 1272 25.
